Provider Application Terms
These terms govern applications to and participation in the STL Guide Network. The Privacy Notice is incorporated into these terms by reference. By checking the agreement box and submitting an application, the applicant confirms that it has read and agrees to both documents. The “STL Guide Network” includes STL Contractor Hub, STL Home Project Guide, STL Concrete Guide, STL Drainage Guide, and current or future category-specific, affiliated, or sister sites operated by Nfinier, LLC. “Provider” means the applicant business and, if accepted, the participating business. Submission does not create a partnership, employment, agency, franchise, exclusivity arrangement, or guarantee of approval, lead volume, conversion, territory, or revenue.
Applicant representations
You represent that the person submitting an application is authorized to bind the Provider; that submitted information is accurate, current, and lawfully provided; that Provider may lawfully provide the services claimed; and that Provider will maintain required licenses, insurance, registrations, permits, and qualifications. Provider authorizes Nfinier, LLC to review public records and profiles, contact references and consumers, verify submitted information, and use relevant application and participation information across the STL Guide Network.
Documentation and verification
Provider agrees to timely supply information and documentation reasonably requested to evaluate qualification, verify continuing compliance, investigate a complaint, administer a referral, determine whether contact, an appointment, estimate, hiring, or work occurred, or verify a fee or other contractual obligation. Requested materials may include licenses, certificates of insurance, W-9 information, references, estimates, contracts, invoices issued to the referred customer, proof of payment, permits, photographs, completion records, and customer confirmation. Provider must provide truthful and authentic records, must have a lawful right to disclose them, and must comply with applicable privacy and data-protection requirements. Provider may redact Social Security numbers, bank and payment-card information, and information unrelated to the verification purpose, but must preserve information reasonably needed to identify the referred project, relevant customer, scope, status, and transaction. Nfinier, LLC may offer a reasonable alternative verification method when appropriate.
Independent business
Accepted providers remain independent businesses solely responsible for advertising claims, consumer communications, inspections, proposals, contracts, pricing, taxes, employees, subcontractors, safety, permits, work, warranties, disputes, and compliance with law. Nfinier, LLC does not supervise or guarantee provider work.
No responsibility for Provider services
Nfinier, LLC and the STL Guide Network provide advertising, educational, referral, communication, and administrative services only. They are not parties to any agreement between a Provider and a consumer and do not employ, direct, control, supervise, inspect, approve, warrant, or guarantee a Provider or its services. Provider is solely responsible for its representations, communications, estimates, inspections, contracts, pricing, scheduling, personnel, subcontractors, tools, materials, jobsite safety, permits, legal compliance, workmanship, property protection, injuries, damages, warranties, collections, refunds, and resolution of consumer complaints or disputes. To the fullest extent permitted by law, Nfinier, LLC and the STL Guide Network are not responsible or liable for a Provider’s acts, omissions, services, work, products, statements, or failure to perform.
Consumer contact and feedback
Use request information only to respond to the identified project, administer resulting work, and as otherwise permitted by law and a written network agreement. Do not sell, disclose, or repurpose consumer information for unrelated marketing. Do not use a lead for prerecorded calls, automated telemarketing calls or texts, or unrelated recurring marketing unless the Provider independently obtains any legally required consent and provides all required notices and opt-out methods. Honor reasonable opt-out requests and identify the Provider when communicating. Use reasonable administrative, technical, and physical safeguards; limit access to personnel who need it; and securely dispose of information when no longer needed. Promptly notify Nfinier, LLC of actual or reasonably suspected unauthorized access, use, or disclosure affecting referred consumer information and cooperate with reasonable investigation and response steps. Communicate honestly and respectfully. Nfinier, LLC and its network sites may contact consumers and providers to ask about response, appointments, estimates, hiring, work performed or completed, invoices, payments, complaints, and feedback. Material complaints, inaccurate information, misuse of data, failure to provide reasonable verification, or failure to meet network expectations may lead to suspension or removal.
Indemnification
To the fullest extent permitted by applicable law, Provider will defend, indemnify, and hold harmless Nfinier, LLC; the STL Guide Network sites; and their respective owners, managers, officers, employees, and agents from third-party claims, demands, actions, damages, judgments, settlements, penalties, fines, losses, liabilities, costs, and reasonable attorneys’ fees arising out of or relating to: (a) Provider’s services, estimates, contracts, work, warranties, representations, acts, omissions, negligence, or willful misconduct; (b) acts or omissions of Provider’s owners, employees, agents, subcontractors, or suppliers; (c) Provider’s breach of these terms or another network agreement; (d) Provider’s violation of law, licensing requirements, permits, safety duties, or third-party rights; (e) Provider’s collection, use, disclosure, security, or misuse of consumer information; or (f) allegations that materials supplied by Provider infringe or misappropriate another person’s rights. Covered matters expressly include claims asserted by a consumer, property owner, occupant, neighbor, employee, subcontractor, supplier, governmental authority, or other person based on or connected with Provider’s contact with a lead, entry onto property, proposal, contract, performance or nonperformance of work, bodily injury, death, property damage, financial loss, deceptive or unauthorized conduct, code or permit violation, warranty, collection activity, or other act or omission. This provision does not require Provider to indemnify a protected party for that protected party’s own negligence or wrongdoing and applies only to the extent enforceable under applicable law. Nfinier, LLC will provide reasonable notice of a covered claim; Provider may control the defense with reasonably acceptable counsel, but may not settle a claim in a manner that admits wrongdoing by or imposes nonmonetary obligations on a protected party without that party’s written consent.
Program changes
Lead delivery, qualification, pricing, credits, returns, category rules, and participation terms may be described in a separate written agreement before activation. Nfinier, LLC may accept, reject, pause, or end participation subject to that agreement and applicable law.
Compensation and fees
Nfinier, LLC may receive fees or other compensation from participating providers for introductions, advertising, subscriptions, leads, or resulting opportunities. Any provider-specific pricing, reporting, payment, credit, and refund terms will be stated in a separate written agreement before activation. Payment does not guarantee placement, lead volume, exclusivity, conversion, or revenue.
Governing law and updates
These terms are governed by Missouri law, without regard to conflict-of-law principles, except where applicable law requires otherwise. We may update these application-stage terms by posting a revised version and effective date. Material participation terms for an active Provider remain subject to any separate written provider agreement.
